These Terms & Conditions apply to purchases from Desktop Power and to orders accepted by us by telephone, email, quotation or through our website at DesktopPower.co.uk.

Please read these terms before placing an order.

References in these terms to “Desktop Power”, “we”, “us” or “our” mean Comms Online Ltd trading as Desktop Power.

References to “you” or “the customer” mean the person or business purchasing goods from us.

2. Business and Consumer Customers

Desktop Power supplies both businesses and consumers.

Some provisions of these terms apply differently depending on whether you are purchasing as a consumer or for business purposes.

A consumer is an individual acting wholly or mainly outside their trade, business, craft or profession.

A business customer is a person, company, organisation or other entity purchasing wholly or mainly for business, trade or professional purposes.

Nothing in these terms is intended to exclude, restrict or reduce any statutory rights that cannot legally be excluded.

3. Products

We make reasonable efforts to ensure that product descriptions, specifications, photographs, dimensions and other information shown on our website are accurate.

Product images are provided for illustration. Colours, finishes and minor details may vary slightly because of manufacturing changes, screen settings or differences between product configurations.

Dimensions and specifications should be checked before cutting furniture, drilling surfaces or undertaking installation work.

Where precise dimensions, drawings or specifications are important to a project, please contact us before ordering.

We may make minor changes to a product or specification where necessary because of manufacturing, regulatory or technical requirements, provided those changes do not materially reduce the product's functionality or quality.

4. Product Configurations

Many Desktop Power products are available in multiple configurations, including combinations of:

  • Power sockets

  • USB-A and USB-C charging

  • Data and multimedia connections

  • Colours and finishes

  • Cable and lead options

  • Mounting arrangements

  • Power input and output connections

You are responsible for selecting the configuration appropriate for your requirements.

If you are uncertain which configuration you require, please contact us before placing your order.

Where we provide advice based on information supplied by you, that advice depends on the completeness and accuracy of the information you provide.

5. Prices and VAT

Prices on our website may be displayed both excluding VAT and including VAT.

Unless clearly stated otherwise:

  • Business quotations will normally show prices excluding VAT

  • VAT will be charged at the applicable rate

  • The total amount payable for an online consumer order will be shown before the order is submitted

Prices may change from time to time, but a price change will not normally affect an order that we have already accepted.

If we discover an obvious pricing or calculation error before accepting an order, we may contact you to offer the correct price or cancel the affected order and refund any payment made.

6. Quotations and Price on Application Products

Some products, configurations and project quantities are supplied by quotation rather than through immediate online checkout.

Unless a quotation states otherwise:

  • Quotations are subject to product availability

  • VAT is additional where prices are quoted excluding VAT

  • Delivery charges may be additional

  • A quotation does not reserve stock

  • Any stated lead time is based on information available when the quotation is issued

A quotation is valid for the period stated on it. If no validity period is specified, please confirm pricing and availability before placing an order if any significant time has passed since the quotation was issued.

7. Placing an Order

Orders may be placed through our website or, where agreed, by email, telephone, purchase order or acceptance of a quotation.

Submitting an online order constitutes an offer to purchase the goods.

An automated order acknowledgement confirms that we have received your order but does not necessarily mean that we have accepted it.

We may decline or cancel an order before acceptance where, for example:

  • A product is unavailable

  • There has been an obvious pricing error

  • Payment cannot be authorised

  • We cannot deliver to the requested location

  • The ordered configuration cannot be supplied

  • We reasonably suspect fraud or misuse

If we cancel an order after payment has been taken, we will refund the amount paid for the cancelled goods.

8. Contract Formation

For standard online orders, a contract is formed when we accept the order, normally by confirming that the goods are being processed or dispatched.

For configured, project or quotation-based orders, acceptance may occur when we confirm the order, accept a purchase order, receive an agreed payment or commence procurement or manufacture following your approval.

Where drawings, specifications or configuration details require customer approval, you are responsible for checking them carefully before approval.

9. Payment

Online orders are normally payable at the time of purchase unless another arrangement has been agreed.

Approved business customers may be offered credit terms at our discretion.

Where credit terms have been agreed, invoices must be paid within the period stated on the invoice or agreed credit arrangement.

We may withdraw or change credit facilities at any time.

If a business customer fails to pay an undisputed amount when due, we may suspend outstanding orders or deliveries until overdue amounts are paid.

Where applicable, we reserve the right to claim statutory interest, compensation and reasonable recovery costs for late commercial payments.

10. Delivery

Delivery options, charges and any available free-delivery thresholds will be shown on the website, at checkout, on the relevant product page or in our quotation.

Delivery charges shown for UK mainland orders may not apply to all locations.

Additional charges may apply to locations including, where applicable:

  • Scottish Highlands and Islands

  • Northern Ireland

  • Isle of Man

  • Channel Islands

  • Other offshore locations

  • Areas subject to carrier surcharges

Please contact us if you require delivery outside our standard delivery area.

11. Delivery Times

Product pages may show estimated dispatch or delivery times.

Some products are held in stock, while others are assembled, configured, manufactured or ordered specifically for the customer.

Unless expressly guaranteed in writing, stated delivery and dispatch dates are estimates.

For consumer orders, we will deliver within the period agreed with you or, where no different period has been agreed, within the period required by applicable consumer law.

For business customers, we will make reasonable efforts to meet estimated delivery dates but time will not be of the essence unless expressly agreed by us in writing.

We are not responsible for delays caused by circumstances outside our reasonable control, although this does not affect any rights a consumer has under applicable law.

12. Receiving Your Delivery

Please inspect deliveries as soon as reasonably possible.

If packaging is visibly damaged, we recommend noting this with the carrier where possible and contacting us promptly.

If damage is discovered after opening the package, please notify us as soon as reasonably possible, ideally within 24 hours, and retain the packaging.

Photographs of the goods and packaging may be requested so that we can investigate damage and, where applicable, make a claim against the carrier.

Signing a carrier's delivery record does not remove any statutory rights a consumer may have in relation to concealed damage or faulty goods.

13. Risk

For consumer customers, responsibility for the goods normally passes to you when the goods come into your physical possession or the possession of a person you have identified to receive them.

For business customers, risk in the goods passes on delivery to the agreed delivery location or on collection where the customer arranges collection.

14. Ownership of Goods – Business Customers

For goods supplied to a business customer on credit, legal title to the goods will remain with us until we have received full payment for those goods.

Until ownership has passed, business customers must take reasonable care of the goods and must not deliberately remove identifying markings where doing so would prevent the goods from being identified.

This clause does not affect the passing of risk under the previous section.

15. Configured, Custom-Made and Bespoke Products

Some Desktop Power products may be manufactured or modified specifically for an individual order.

This may include products manufactured to a specific combination of power, charging, data, connectivity, colour, lead or other requirements.

For consumer customers, the normal statutory right to cancel a distance contract may not apply where goods are genuinely made to the customer's specifications or clearly personalised, as provided by applicable consumer law.

Selecting a standard product or an ordinary stock option does not automatically make a product bespoke.

Where the product is a standard product, normal consumer cancellation rights will apply where applicable.

For business customers, configured, bespoke, manufactured-to-order and specially procured products cannot normally be cancelled once procurement or manufacture has begun.

If you are unsure whether a product will be treated as configured or bespoke, please contact us before ordering.

16. Consumer Cancellation Rights

Consumers purchasing eligible standard goods online normally have the right to cancel within 14 days of receiving the goods, without giving a reason.

You should notify us of your intention to cancel within that period.

Following cancellation, goods should normally be returned within a further 14 days.

Unless goods are faulty, damaged, incorrectly supplied or not as described, the consumer is responsible for the cost of returning the goods.

Where a consumer validly exercises their statutory cancellation right, we will refund:

  • The price paid for the eligible goods; and

  • The cost of the least expensive standard delivery service offered for the order

Where an enhanced, express, timed or premium delivery service was selected, we are not required to refund the additional delivery cost above our standard delivery charge.

These provisions do not apply to goods that are exempt from statutory cancellation rights, including qualifying made-to-specification or clearly personalised goods.

17. Our Additional 30-Day Returns Policy

In addition to applicable statutory rights, we offer a 30-day returns period for eligible standard products, subject to our Returns & Refunds Policy.

Where we agree to accept a non-faulty consumer return outside the statutory cancellation period but within our voluntary 30-day policy:

  • The customer is responsible for return carriage

  • Original delivery charges are non-refundable

  • Goods must be unused, as new and suitable for resale

  • Original packaging, accessories, manuals and components must be included

18. Business Returns

Consumer cancellation rights do not apply to business purchases.

Returns of correctly supplied, non-faulty goods purchased for business purposes are accepted at our discretion.

Where a business return is authorised:

  • A 25%–35% restocking charge may apply

  • Original delivery charges are non-refundable

  • The customer is responsible for return carriage

  • Goods must be returned unused, as new and in fully resalable condition

  • Original packaging and components must be complete and undamaged

Configured, bespoke or specially procured business orders may be non-returnable.

19. Faulty, Damaged or Incorrect Goods

If goods are faulty, damaged, incorrectly supplied or not as described, please contact us as soon as possible.

We may ask for photographs, product information or other reasonable evidence to help us identify the issue.

Depending on the circumstances and your applicable rights, an appropriate remedy may include:

  • Repair

  • Replacement

  • Collection

  • Price reduction

  • Refund

Nothing in these terms limits a consumer's statutory rights in relation to goods that are faulty, not as described or otherwise fail to meet the requirements of consumer law.

20. Consumer Statutory Rights

Goods supplied to consumers must meet the standards required by UK consumer law, including being:

  • As described

  • Of satisfactory quality

  • Fit for any particular purpose made known to us where applicable

A manufacturer's or supplier's warranty is in addition to, and does not replace or shorten, a consumer's statutory rights.

21. Product Warranty

Unless a product page or quotation states otherwise, products supplied by Desktop Power include a 1-year warranty from the date of delivery.

During the applicable warranty period, where a product suffers a qualifying manufacturing defect, we may repair or replace the product as appropriate.

The warranty does not normally cover faults or damage resulting from:

  • Normal wear and tear

  • Accidental damage

  • Misuse or neglect

  • Incorrect installation

  • Use outside the manufacturer's specification

  • Unauthorised modification or repair

  • External electrical faults, surges or unsuitable power supplies

  • Damage caused by third-party equipment

Where appropriate, we may require the affected product to be returned for inspection.

Nothing in this warranty affects a consumer's statutory rights.

22. Installation and Use

Products must be installed and used in accordance with applicable manufacturer instructions and relevant electrical and safety requirements.

Where electrical installation, hard wiring or other specialist work is required, this should be undertaken by a suitably competent person.

Desktop Power is not responsible for damage caused by incorrect installation, misuse, unauthorised modification or installation contrary to supplied instructions, except where responsibility cannot lawfully be excluded.

Customers should ensure that products are suitable for the intended installation before modifying furniture, desks, worktops or other surfaces.

23. Business Customer Liability

This section applies to business customers only.

Nothing in these terms limits or excludes liability where it would be unlawful to do so, including liability for:

  • Death or personal injury caused by negligence

  • Fraud or fraudulent misrepresentation

  • Any other liability that cannot legally be excluded

Subject to the above, we will not be liable to a business customer for indirect or consequential losses, or for loss of profit, revenue, business, contracts, anticipated savings or business opportunity arising from an order.

Subject to any liability that cannot lawfully be limited, our total aggregate liability arising from a particular order will not normally exceed the amount paid or payable for the goods giving rise to the claim.

Nothing in this clause excludes any rights or remedies that cannot reasonably or legally be excluded in a business-to-business contract.

24. Consumer Liability

Nothing in these terms excludes or limits our liability to consumers where doing so would be unlawful.

If we fail to comply with these terms, we are responsible for loss or damage that is a foreseeable result of our breach or our failure to use reasonable care and skill, subject to applicable law.

We are not responsible for losses that were not foreseeable.

Where a consumer uses a product primarily for commercial or business purposes, we are not responsible for business losses such as lost profit, lost revenue or loss of business opportunity.

25. Events Outside Our Reasonable Control

We will not be responsible for failure or delay caused by circumstances outside our reasonable control.

These may include, for example:

  • Carrier disruption

  • Severe weather

  • Fire or flood

  • Industrial disputes

  • Supply-chain disruption

  • Manufacturer shortages

  • Failure of utilities or communications networks

  • Government action

  • Import or customs disruption

Where such an event affects an order, we will make reasonable efforts to minimise the impact and keep you informed where appropriate.

Consumer rights relating to substantial delivery delays are not affected.

26. Product Availability

Products are subject to availability.

Stock information and lead times may change without notice, particularly for configured or manufacturer-supplied products.

If we are unable to supply an ordered product, we may offer an alternative, provide a revised delivery date or cancel and refund the affected item.

We will not substitute a materially different product without your agreement.

27. Website Information

We take reasonable care to keep the website accurate and available.

We cannot guarantee that the website will always be uninterrupted or free from errors.

The website may be temporarily unavailable for maintenance, technical reasons or circumstances beyond our control.

28. Intellectual Property

Unless stated otherwise, website text, graphics, branding, layouts and other original content owned by Desktop Power or Comms Online Ltd may not be reproduced commercially without permission.

Manufacturer names, trademarks, photographs, specifications and other intellectual property remain the property of their respective owners.

29. Personal Information

We process personal information in accordance with our Privacy Policy.

Information provided when placing an order will be used as necessary to process payment, fulfil the order, arrange delivery, provide customer support and meet our legal and accounting obligations.

30. Complaints

31. Changes to These Terms

We may update these Terms & Conditions from time to time.

Changes will apply to future orders from the date the updated terms are published.

Changes will not retrospectively alter the terms of an order that has already been accepted unless required by law or agreed with the customer.

32. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.

33. Waiver

If we do not immediately enforce a right under these terms, this does not mean that we have waived that right.

34. Third-Party Rights

Unless expressly stated otherwise, a person who is not a party to the contract will not have a right to enforce these terms.

35. Governing Law and Jurisdiction

These terms and contracts made with Desktop Power are governed by the laws of England and Wales.

For business customers, the courts of England and Wales will have jurisdiction in relation to disputes arising from our contract.

Consumers may also benefit from mandatory legal protections applicable in the part of the United Kingdom in which they live and may bring proceedings in any court entitled to hear their claim under applicable law.

Our Returns & Refunds Policy contains additional information about:

  • Our voluntary 30-day returns period

  • Business returns

  • Configured and bespoke products

  • Faulty and damaged goods

Nothing in either document is intended to reduce any statutory consumer rights.
